1. Scope of Services

Global Merchant LLC provides administrative assistance, corporate document processing, and business setup coordination for non-US resident entrepreneurs. Our service package includes:

  • US LLC Formation filing in the State of Missouri.

  • Procurement processing for an IRS Employer Identification Number (EIN).

  • Provision of a US business address and Registered Agent services.

  • Consulting and facilitation for third-party business banking networks (e.g., Payoneer).

  • Consulting and technical setup facilitation for third-party payment processing gateways (e.g., Stripe).

No Legal or Financial Advice: Global Merchant LLC is a corporate filing and business infrastructure provider. We are not a law firm, certified public accountant (CPA), or financial institution. Any information provided on our Website or by our support team is for informational purposes only and does not constitute legal, tax, or financial advice.

2. Client Responsibilities and Accuracy of Information

  • Accurate Data: You agree to provide true, accurate, current, and complete information regarding your identity, physical address, and business activities during the onboarding process.

  • Compliance: You represent and warrant that your business operations comply with all local, national, and international laws, including economic sanctions, anti-money laundering (AML) regulations, and Know Your Customer (KYC) requirements.

  • Prohibited Activities: We do not provide services to businesses engaged in illegal activities or industries strictly prohibited by our third-party banking and merchant banking partners.

3. Third-Party Financial Platforms (Stripe, Payoneer, etc.)

  • Independent Entities: Stripe, Payoneer, and other banking networks are independent third-party institutions with their own compliance frameworks, terms of service, and risk assessments.

  • No Approval Guarantee: While Global Merchant LLC builds a fully compliant corporate framework for your business, the final approval, maintenance, or potential suspension of any bank account or Stripe merchant account is at the sole discretion of those respective platforms.

  • Limitation of Liability: Global Merchant LLC is not liable for any account restrictions, account closures, withheld funds, or financial losses imposed on your business by Stripe, Payoneer, or any other third-party provider.

4. Fees, Payments, and Refund Policy

  • Service Fees: The current standard fee for our all-in-one corporate setup package is $350 USD. All fees are due upfront before services commence.

  • Government Fees: State filing fees and administrative expenses incurred with third parties or government bodies are non-refundable once the filing process has been initiated with the state or federal government.

  • Refund Policy: Refunds for the service portion of your payment may be requested only if no corporate filing work, address allocation, or application processing has been initiated by our team. Once state corporate filings or IRS document submissions have begun, fees are strictly non-refundable.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Global Merchant LLC, its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your inability to access or use third-party merchant accounts.

  • Delays in processing by the IRS or state corporate registries.

  • Any actions, policy updates, or operational changes made by Stripe or Payoneer.

6. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without giving effect to any choice or conflict of law provision.

7. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify clients of any significant updates by updating the "Last Updated" date at the top of this page.
